These Terms & Conditions (“Terms”) govern your use of samedayyachtbuyers.com (the “Website”) and any request you submit for a vessel valuation or cash purchase offer (the “Services”). The Website is operated by OCD Exotic Boats [LLC/Inc.], doing business as Same Day Yacht Buyers (“we,” “us,” or “our”), located at 4121 SW 47th Avenue, Suite 1305, Davie, FL 33314. By using the Website or submitting a request, you agree to these Terms. If you do not agree, please do not use the Website.
1. Who We Are and What We Do
We are a direct purchaser of vessels. We are not a yacht broker, agent, or intermediary, and we do not list, market, or sell your vessel on your behalf. When we make an offer, we are offering to buy the vessel ourselves or through an affiliated entity. Nothing on the Website creates a brokerage, agency, fiduciary, or advisory relationship.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract. You must be the registered owner of the vessel, or have written authority to sell it on the owner’s behalf.
3. Requesting an Offer
- Submitting a form, calling us, or uploading photos is a request for an offer only. It is not a contract or a commitment by either party.
- Any offer we make is based on the information, documents, and photos you provide, along with our market analysis. We may revise or withdraw an offer if the information is inaccurate, incomplete, or changes.
- Offers, including any stated timeline or valuation, are non-binding until both parties sign a written purchase agreement.
- You are under no obligation to accept an offer, and we are under no obligation to make one.
4. Conditions to Purchase and Closing
Any purchase is subject to the following, and to the terms of the signed purchase agreement:
- Inspection and survey. Satisfactory physical inspection, sea trial, and/or marine survey, as we determine.
- Clear title. The seller must be able to deliver clear, marketable title, free of liens, encumbrances, and claims, and all required vessel documentation or registration.
- Payoff of any loan. If the vessel is financed, any lien will be paid from sale proceeds at closing, as set out in the purchase agreement.
- Agreed contract terms. Execution of a written purchase agreement and any related documents.
Any timeline we state, such as “close in as little as 5 days,” is an estimate. It depends on timely inspection, clear title, completed paperwork, and the parties’ responsiveness. We do not guarantee any specific closing date.
5. Purchase “As-Is”
Unless the purchase agreement says otherwise, vessels are purchased in their current condition. You are expected to disclose all known material defects, damage, repairs, and liens. If our inspection finds conditions that differ from what you disclosed, we may adjust or withdraw our offer, as the purchase agreement permits.
6. Payment
Payment is made as set out in the purchase agreement, typically by wire transfer after closing conditions are met. Beware of wire fraud: we will never change wire or payment instructions by email alone. Always confirm payment details by phone, using a number published on this Website or in the purchase agreement, before sending or accepting funds. We are not responsible for losses resulting from fraudulent instructions you did not verify.
7. Accuracy of Information
You represent that all information, photos, and documents you give us are true, accurate, and complete, and that you have the right to sell the vessel. Providing false or misleading information may result in withdrawal of an offer and may expose you to liability.
8. Communications Consent
By submitting a request, you agree that we and our representatives may contact you by phone, text message, and email about your request, including through automated technology, at the contact details you provided. Consent is not a condition of any purchase. Message and data rates may apply, and you may opt out at any time by replying STOP to a text or by contacting us. Our handling of your personal data is described in our Privacy Policy.
9. Photos and Uploaded Content
You keep ownership of the photos and documents you upload. You grant us a limited, non-exclusive license to use them to evaluate your vessel, prepare an offer, and carry out a transaction. We will not publish them without your permission, except as needed for resale of the vessel after we purchase it.
10. Website Use
You agree not to use the Website to violate any law, submit false or fraudulent requests, upload malicious files or code, attempt to gain unauthorized access, interfere with the Website’s operation, or scrape or copy its content without permission. We may suspend or restrict access at our discretion.
11. Intellectual Property
The Website’s content, including text, graphics, logos, and design, is owned by us or our licensors and is protected by intellectual property laws. “OCD Exotic Boats” and “Same Day Yacht Buyers” and related marks belong to their respective owners. You may not copy, reproduce, or reuse them without written permission.
12. No Professional Advice
Information on the Website is general and is not legal, tax, financial, or insurance advice. Estimated values are not formal appraisals or surveys. We recommend consulting your own advisors, such as an attorney, CPA, or marine surveyor, before selling a vessel.
13. Third-Party Links and Services
The Website may link to third-party sites or use third-party tools (such as analytics or form services). We do not control them and are not responsible for their content, practices, or availability.
14. Disclaimers
The Website and Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted or error-free, or that any estimate or timeline will be accurate or achievable.
15. Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, officers, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Website or Services. Our total liability for any claim related to the Website will not exceed $100. Nothing in these Terms limits liability that cannot be limited by law, or any obligations under a signed purchase agreement.
16. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misrepresentation of the vessel or its title, or your violation of any law or third-party right.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to that jurisdiction. A signed purchase agreement may contain its own governing-law and dispute terms, which control for that transaction.
18. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted, with the “Last updated” date revised. Your continued use of the Website after changes means you accept them.
19. Severability and Entire Agreement
If any provision is found unenforceable, the remaining provisions stay in effect. These Terms, together with our Privacy Policy and any signed purchase agreement, are the entire agreement between you and us about the Website and Services.
